Terms of Service
These terms govern your use of the Carewell staffing platform, operated by Carewell GmbH, Bahnhofstrasse 52, 8001 Zurich, Switzerland. They apply to both clinic users and nurse users.

1. Agreement
These Terms of Service govern your use of gocarewell.com and the Carewell nurse-shift staffing platform (the "Service") operated by Carewell GmbH ("the Company," "we," "us," or "our") (Bahnhofstrasse 52, 8001 Zurich, Switzerland). By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.
The Service operates as a two-sided marketplace: clinics post open nursing shifts; freelance nurses browse and confirm shifts. These Terms apply to both sides. Where a provision applies only to clinics or only to nurses, it is labelled accordingly.
If you are a consumer (a natural person acting outside your trade, business, craft, or profession), nothing in these Terms limits your statutory consumer rights under your country of residence.
2. Eligibility and Account Registration
- You must be at least 18 years of age to register.
- Nurse users must hold a current, valid Swiss nursing qualification (SRK-ASI registration or equivalent) or the relevant certification for cross-border applicants. You are responsible for keeping your credential information accurate and up to date.
- Clinic users must be authorised to enter into contractual commitments on behalf of their institution.
- You agree not to create more than one account, not to transfer your account, and to keep your login credentials confidential.
- You agree not to use the Service for unlawful purposes, to interfere with platform operation, or to attempt unauthorised access to accounts or systems.
- You may not copy, scrape, or reverse-engineer the Service except as permitted by mandatory law.
3. Platform Role: Marketplace, Not Employer
The Company operates the platform that facilitates the connection between clinics and freelance nurses. The Company is not the employer of any nurse using the platform, nor does the Company act as a staffing agency in the traditional sense. The contractual relationship for each shift is between the clinic and the nurse directly. The Company facilitates the match, processes payment, and provides the infrastructure, but is not a party to the individual shift engagement.
Clinics remain responsible for: patient-safety obligations under their own operating licences; verifying that a matched nurse meets any additional requirements specific to the ward or procedure; and compliance with Swiss healthcare employment regulations applicable to freelance engagements.
Nurses remain responsible for: maintaining current, valid credentials; confirming shifts they can genuinely fulfil; professional conduct during shifts; and their own independent contractor or freelance tax obligations under Swiss law.
4. Intellectual Property
The Service, including all software, algorithms, matching logic, design, and content, is owned by the Company or its licensors and is protected by Swiss and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose of shift matching. Nothing in these Terms transfers any intellectual-property rights to you.
5. User Content
You are responsible for any content you submit to the platform, including credential documents, shift descriptions, ward requirements, and messages. You represent that you have the necessary rights to submit that content and that it is accurate. You grant the Company a limited licence to store, process, and display the content to the extent necessary to operate the Service (matching, credential display to relevant clinics or nurses, shift-record keeping). We do not use your personal content to train machine learning models; see our Privacy Policy for details.
6. Fees and Payments
Clinic users pay platform fees according to the plan selected at registration (Starter, Ward, or Hospital tiers). Current fees are listed on the Pricing page. Nurse users on the Standard plan pay no platform fee; nurse users on the Verified plan pay a monthly subscription as listed on the Pricing page. The Company processes shift payments on behalf of clinics and disburses nurse payouts within the timeframes stated on the Pricing page.
All fees are stated in Swiss Francs (CHF). Applicable Swiss VAT (MWST) will be added where legally required. The Company reserves the right to update pricing; material changes will be notified to registered users at least 30 days before they take effect.
7. Right of Withdrawal (Consumer Contracts)
Where you enter into a paid subscription with the Company as a consumer (a natural person) at distance, you have the right to withdraw within 14 days under applicable consumer-protection law without giving any reason. To exercise this right, contact the Company at [email protected] with a clear statement of withdrawal before the 14-day period expires. We will refund all amounts paid within 14 days of receiving your withdrawal notice. Note that once platform access has been actively used during the withdrawal period (for example, a shift has been posted or accepted), the right of withdrawal is exercised for a service already partially performed.
8. Disclaimers and Statutory Guarantees
The Service is provided on an "as is" basis. The matching algorithm uses nurse credentials and availability data to generate recommendations; it does not guarantee a match for every shift posted, and clinics remain responsible for their own patient-safety and staffing adequacy decisions. Nothing in these Terms excludes or limits the Company's liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under mandatory Swiss or applicable consumer law. Statutory guarantees that apply under mandatory law are not affected by these Terms.
9. Limitation of Liability
To the extent permitted by Swiss law, the Company's total liability for any claim arising from or related to the Service will not exceed CHF 500, except for liability that cannot be limited under mandatory law (see Section 8). In particular, the Company is not liable for patient-safety decisions made by clinics using matched nurses, for a nurse's professional conduct during a shift, or for losses caused by inaccurate credential information submitted by a nurse user.
10. Termination
Either party may terminate their account at any time by contacting [email protected]. The Company may suspend or terminate access immediately for material breach of these Terms, submission of false credential information, or conduct that poses a patient-safety risk. Sections that by their nature should survive termination will survive, including Sections 4, 8, 9, 11, and 12.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland, without regard to its conflict-of-law provisions.
The courts of Zurich, Switzerland have exclusive jurisdiction over any dispute arising from or related to these Terms or the Service, subject to any mandatory consumer-protection rules of your country of residence that grant you additional forum rights. If you are a consumer, you may also bring proceedings before the courts of your country of residence; the Company may only bring proceedings against a consumer user in the courts of their country of residence.
The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The Company does not commit to participation in any specific ADR body but will cooperate where required by applicable law.
12. Changes to These Terms
We may update these Terms. Material changes will be posted with a new "Last updated" date and notified to registered users by email at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
